Boards representing all types of organizations, public & private (and increasingly non-profits) are under pressure to deliver effective oversight.
In today’s environment, best practice Boards embrace two distinct roles in providing oversight, namely rebuilding trust in the face of major corporate failures in oversight while contributing to the performance of the organization.
All Boards should assess their process and performance, and many do. However, these assessments often don’t go to the heart of evaluating the Board’s effectiveness in providing strategic guidance and counsel to management. This effectiveness depends on the personal orientations of Board members and the ability of the Board to work together productively.
Consequently, it is valuable for the Board to go beyond current best practices of evaluating issues such as member independence, committee structure and individual activity.
